1. Acceptance of Terms

By accessing or using Mergerly ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These terms apply to all users, including individual users and organizations.

2. Service Description

Mergerly is an AI-powered M&A (Mergers and Acquisitions) deal origination and company analysis platform. The Service provides tools for company scoring, financial analysis, M&A comparisons, deal pipeline management, AI-powered insights, and collaborative team workspaces.

The analyses and scores provided by Mergerly are intended as decision-support tools and should not be considered financial advice. Users should conduct their own due diligence and consult qualified professionals before making investment decisions.

3. User Accounts

You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account.
  • Notifying us immediately of any unauthorized use of your account.
  • Ensuring that all information you provide is accurate and current.

You may delete your account at any time through Settings > Account. Account deletion is permanent and cannot be reversed.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulations.
  • Upload false, misleading, or fraudulent company data.
  • Attempt to gain unauthorized access to other users' data or accounts.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use automated tools to scrape or extract data from the Service beyond API limits.
  • Resell or redistribute the Service without written authorization.

5. Intellectual Property

The Service, including its design, features, and algorithms, is the intellectual property of Mergerly. You retain ownership of the data you upload to the platform. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service to you.

6. Limitation of Liability

To the maximum extent permitted by law, Mergerly shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. This includes, but is not limited to, damages for loss of profits, data, or business opportunities.

AI-generated analyses are provided "as is" without warranty of accuracy. Mergerly does not guarantee the completeness or reliability of any analysis, score, or recommendation generated by the platform.

7. Termination

We reserve the right to suspend or terminate your access to the Service at any time for violation of these terms or for any other reason at our sole discretion. Upon termination, your right to use the Service will immediately cease. You may export your data before termination using the data export feature.

8. Changes to Terms

We may update these terms from time to time. We will notify registered users of material changes via email. Continued use of the Service after changes constitutes acceptance of the updated terms.

9. Governing Law

These terms shall be governed by and construed in accordance with the laws of the European Union and the applicable national laws of Italy. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Milan, Italy.
